How do you assess management quality in DD?

A core Private Equity interview question — asked in analyst and associate interviews across IB, PE, and the Big 4.

THE SHORT ANSWER

Four dimensions: (1) Strategic clarity — can the CEO articulate a 3-year vision in 60 seconds? (2) Operational grip — does the CEO know unit economics, not just top-line? (3) PE readiness — has management worked with a board, external investors, KPI discipline? (4) Energy and hunger — do they want to grow, or are they coasting? Two-thirds of portco CEOs are replaced in the first 4 years. Assess honestly.
